Terms of Sale

THIS IS A BINDING AGREEMENT. PLEASE READ IT CAREFULLY.

Terms of Sale for Purchase of C by GE™ Products (Last revised March 2, 2016)

These Terms of Sale (“Terms”) apply to your purchase of C by GE™ products (each a “Product” and collectively, “Products”) sold in the United States by GE Lighting (“GE”), a business of General Electric Company, on the C by GE™ website. You agree to these terms by placing your order. If you have already placed your order and no longer want to be bound to these Terms, then you must return the purchased Products in accordance with the C by GE™ Returns Policy.  Your order is subject to cancellation by GE in its sole discretion.

As part of your purchase of Products, you may be asked to provide, among other things, your name, a valid credit card number, the expiration date and security code of your credit card, your billing address, and shipping information. You represent and warrant to GE that all such information is true and correct. Your submission of such information constitutes your permission for GE to provide any or all of such information to third parties for purposes of facilitating the fulfillment of your order.

The amount of any present or future sales, use, revenue or other tax applicable to Products sold shall be added to the purchase price, unless you provide GE with a valid tax exemption certificate applicable to your purchase of Products.

Title to and risk of loss of Products purchased is transferred to you at the point of shipment.

Purchased Products may not be resold or exported. Your purchase is for your own personal use only.

Each Product is warranted to last 10 years based on rated life at 3 hours’ use per day at 120V. If a Product does not last for 10 years (based on 3 hours per day / 7 days per week), return Product, proof of purchase and your name and address to GE Lighting, Product Service Dept., Nela Park, 1975 Noble Rd., Cleveland, Ohio 44112, and GE will replace your Product. Product replacement is GE’s sole warranty obligation (ALL OTHER WARRANTIES – WHETHER EXPRESS, IMPLIED OR STATUTORY – BEING DISCLAIMED), and incidental and consequential damages are excluded. Some states do not allow for the exclusion or limitation of incidental or consequential damages, so the above exclusion may not apply to you. This limited warranty gives you specific legal rights and you may also have other rights which vary from state to state. Notwithstanding the foregoing, this limited warranty does not warrant against Product failure as a result, directly or indirectly, of accidents involving or misuse of the Product (including failure to follow Product documentation or plugging the Product into the wrong type of electrical socket), disassembly of the Product, alterations of the Product, external causes such as extreme thermal or environmental conditions (including but not limited to moisture and heavy dust), installation or enablement of unauthorized software to control the Product, unauthorized alterations to the C by GE™ App, or unauthorized resale, export or commercial use. This limited warranty does not guarantee that use of the Product will be uninterrupted or error-free. In the event of any conflict between the above limited warranty and any warranty printed on Product packaging, the above limited warranty shall control. The return of Products to GE other than by reason of the above limited warranty must be in accordance with the C by GE™ Returns Policy.

GE shall not be liable for delay or failure to perform its obligations in connection with the Products resulting directly or indirectly from acts of any governmental authority, accidents and disruptions (including but not limited to fires, explosions, breakdowns of essential machinery or equipment and power shortages), transportation or storage delays, labor difficulties, or failure or delay in its usual source of supply. In addition to such causes, GE shall in no event be liable for delay or failure to perform resulting directly or indirectly from any cause which is beyond its reasonable control. In the event of any delay or failure by GE to deliver all or any part of the Products in accordance with these Terms as a result of any of the aforesaid causes, the date of delivery for such delayed Products shall be extended for a period equal to the time lost by reason of the delay, as determined by the GE. In the event of Product shortage, GE may allocate sales in its sole discretion.

These Terms supersede all prior or contemporaneous agreements or understandings, written or oral, with respect to your purchase of the Products. Any additional, different or conflicting terms and conditions issued by you at any time are hereby objected to by, and not binding in any way on, GE. No waiver or amendment of any provision hereof shall bind GE unless made in a writing executed by an authorized representative of GE. If any provision of these Terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected or impaired.

These Terms shall be governed by and construed in accordance with the internal laws of the State of New York and the applicable federal laws of the United States of America, without giving effect to conflict of laws provisions. You agree to submit to the exclusive personal jurisdiction of the state or federal courts located within the State of New York for any disputes arising from or related to the these Terms.

You may not assign or transfer your rights hereunder without GE’s prior written consent.

GE reserves the right to make changes to these Terms from time to time, and any such changes will apply to your future purchases of Products.
